These Terms & Conditions (“Terms”) govern the contract between Sin City Spirits Ltd (“we”, “us”, “our”, the “Vendor”) and you (“you”, “your”, the “Customer”) when you purchase products via our website. By placing an order, you agree to these Terms. If you do not agree, please do not place an order.
1. Applicability
1.1. These Terms apply to all purchases of goods (e.g., ultra-premium vodka, spiced rum) by consumers and businesses through our online shop at www.sincityspirits.com.
1.2. “Consumer” means a natural person acting for purposes wholly or mainly outside their trade, business, craft, or profession. “Business Customer” means a person or entity acting in connection with their trade, business, craft, or profession.
1.3. Deviating or additional terms proposed by you (e.g., in your own purchase conditions) are not binding unless we expressly agree in writing.
2. Offers, Product Descriptions
2.1. Product listings on our website constitute an invitation to you to place an order. Descriptions, images, specifications, and prices are provided in good faith but do not form a binding guarantee, except where explicitly stated.
2.2. Unless otherwise indicated, all offers are subject to availability (“while stocks last”). We reserve the right to correct pricing or description errors at any time before accepting your order.
3. Order Process & Conclusion of Contract
3.1. Selecting Products: You add desired items to your shopping cart and proceed to checkout. You can review and amend your selection before finalising.
3.2. Placing an Order: When you click the “Place Order” (or similarly labelled) button and complete payment, you make a binding offer to purchase the items in your cart.
3.3. Order Acknowledgement: After placing your order, we send an automatic order confirmation email summarising your order details. This confirms receipt of your order but does not yet constitute acceptance.
3.4. Contract Formation: A binding contract is formed when we dispatch the goods to you or send you a separate dispatch confirmation/invoice within [2] business days of your order, whichever is earlier. If we cannot accept your order (e.g., out of stock), we will inform you without undue delay and refund any payment taken.
3.5. Business Customers: If you are a Business Customer, the dispatch/confirmation period may be extended to [7] business days if necessary, but we will notify you promptly if any delay arises.
4. Prices & Delivery Costs
4.1. All prices shown on the website include UK VAT at the applicable rate, unless otherwise stated.
4.2. Delivery costs are added at checkout and displayed before you confirm payment. Our Shipping & Returns page provides details on shipping regions, options, costs, and age-verification requirements.
4.3. In the event of price or shipping changes after you place an order but before acceptance, we will notify you and give you the option to proceed or cancel.
5. Delivery & Product Availability
5.1. Dispatch & Delivery: We dispatch orders within the stated processing time (e.g., 3–5 business days). Delivery times depend on the chosen shipping method.
5.2. Availability: If a product becomes unavailable before dispatch (through no fault of your own), we will inform you and offer either a comparable alternative (if available) or a full refund.
5.3. Age Verification: All alcohol deliveries require an adult (18+) signature and valid ID. You must ensure someone aged 18+ is available at the delivery address.
5.4. Risk & Title: Risk of loss or damage passes to you upon delivery. We retain title to the goods until we have received payment in full.
5.5. Force Majeure: We are not liable for delay or failure to deliver caused by events outside our reasonable control (e.g., extreme weather, courier strikes). Where such events occur, we will notify you and make reasonable efforts to resume delivery.
6. Terms of Payment
6.1. We accept payment by the methods displayed at checkout (e.g., major credit/debit cards, PayPal). Payment is taken at the time you place your order unless otherwise agreed.
6.2. For Business Customers with agreed credit terms, payment is due within [30] days of invoice date. We reserve the right to require prepayment for first-time or large orders.
6.3. If third-party payment providers are used (e.g., Stripe, PayPal), their terms also apply; we do not store full payment details.
6.4. If payment is not received by the due date, we may cancel the order and/or charge statutory interest on late payments, and recover costs of debt collection.
7. Retention of Title
7.1. Ownership of the goods remains with Sin City Spirits Ltd until we have received full payment of all sums due under your order and any other outstanding invoices.
7.2. You must store the goods separately and handle them with due care until ownership passes.
7.3. If you resell the goods before ownership passes, you hold proceeds on trust for us and must pay such proceeds to us immediately upon receipt.
8. Customer Account
8.1. Account Creation: You may create an account to store details and track orders. Guest checkout is also available [choose one: enable or disable]. If required, adjust to your platform capabilities.
8.2. Accuracy of Information: You must provide accurate, complete information when creating or updating your account. You are responsible for maintaining the confidentiality of your account credentials.
8.3. Account Termination: You can close your account at any time; we reserve the right to suspend or terminate accounts in case of misuse or breach of these Terms.
9. Product Warranty & Guarantee
9.1. Consumers: For defective or faulty products, your statutory rights under the UK Consumer Rights Act 2015 apply. You have the right to a refund, repair, or replacement if goods are faulty or not as described, within the statutory period.
9.2. Business Customers: Warranty rights are subject to applicable commercial law. You must inspect goods on delivery and notify us of visible defects within a reasonable time (e.g., 14 days). Remedies may include replacement or refund at our discretion.
9.3. Guarantees: If we offer any additional guarantee, the terms will be clearly stated alongside the product.
10. Liability
10.1. Consumer Liability: Nothing in these Terms limits your statutory rights as a consumer.
10.2. Our Liability: Subject to clause 10.1, our total liability for any loss or damage arising under or in connection with these Terms shall not exceed the price paid for the affected goods. We are not liable for any indirect or consequential losses (e.g., loss of profits).
10.3. Exceptions: We do not exclude liability for death or personal injury caused by our negligence, fraud, or any other liability which cannot be limited or excluded by law.
11. Contract Storage & Communication
11.1. Order Records: You can print or save the order confirmation email for your records. Your order details are also accessible via your account on our website.
11.2. Contract Language: The contract is concluded in English and all communications will be in English.
11.3. Archiving: We retain contract records (order details, communications) in accordance with legal requirements (e.g., for tax/accounting) but will not make them publicly accessible.
12. Governing Law & Jurisdiction
12.1. These Terms are governed by the laws of England and Wales.
12.2. If you are a consumer, any dispute arising under these Terms may be brought in the courts of your place of residence or in England and Wales.
12.3. If you are a Business Customer, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
